Traveler & Attendee Booking Terms

These Terms and Conditions (these “Terms”) govern each participant’s (“you”, “your”, “participant”, “traveler”, “attendee”, or “user”) access to and use of the site at wildishwomen.com (the “Website” or “Company Website”) which is owned and/or operated by Wildish Women, an Arizona limited liability corporation (“Company”, “Wildish Women”, “we”, “us”, “our”), and any other products, mobile applications, other apps or other platforms the Company offers (hereinafter, the Website and these other products, mobile applications, other apps and/or other platforms are collectively referred to as “Company Programs”).

PLEASE READ THE FOLLOWING TERMS CAREFULLY:

THESE TERMS, TOGETHER WITH THE COMPANY’S PRIVACY POLICY (THE “PRIVACY POLICY” OR THE “COMPANY’S PRIVACY POLICY”), AND ANY OTHER TERMS OR CONDITIONS INCORPORATED BY REFERENCE INTO THESE TERMS (HEREINAFTER COLLECTIVELY REFERRED TO AS THIS “AGREEMENT”) FORM A LEGALLY BINDING CONTRACT BETWEEN YOU AND THE COMPANY. PLEASE READ ALL OF THE PROVISIONS OF THE AGREEMENT CAREFULLY AS IT CONTAINS IMPORTANT INFORMATION ABOUT YOUR ACCESS AND USE OF THE SITE OR ANY OTHER COMPANY PROGRAMS.

BY CONTINUING TO USE OR OTHERWISE ACCESS THE SITE OR ANY OTHER COMPANY PROGRAM (INCLUDING WITHOUT LIMITATION STARTING TO BOOK ANY TRIP), YOU HEREBY AUTOMATICALLY AGREE TO BE BOUND BY ALL OF THE PROVISIONS OF THIS AGREEMENT (AS DEFINED ABOVE), AS PRESENTED TO YOU AS OF THE DATE OF YOUR FIRST USE OF EITHER THE SITE OR ANY OTHER COMPANY PROGRAM.

AS SET FORTH IN MORE DETAIL IN SECTION 10 HEREIN, THE COMPANY RESERVES THE RIGHT, AT OUR DISCRETION AND AT ANY TIME, TO MAKE CHANGES TO ANY OF THE PROVISIONS OF THIS AGREEMENT, INCLUDING WITHOUT LIMITATION CHANGES TO ANY OF THE TERMS AND CONDITIONS GOVERNING A TRIP OR EVENT OR TO THE COMPANY PRIVACY POLICY (HEREINAFTER “UPDATES” TO THIS AGREEMENT”). YOU WILL BE BOUND BY ALL UPDATES TO THIS AGREEMENT AS MORE FULLY SET FORTH IN SECTION 10 OF THIS AGREEMENT.

NO CHANGES (ADDITIONS OR DELETIONS) BY YOU TO THIS AGREEMENT WILL BE ACCEPTED BY THE COMPANY. THUS, IF YOU DO NOT AGREE TO ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT, THEN YOU SHOULD NOT ACCESS OR OTHERWISE USE THE SITE OR ANY OTHER COMPANY PROGRAMS.

THIS AGREEMENT CONSTITUTES A BINDING CONTRACT BETWEEN YOU AND THE COMPANY AND YOU SHOULD DOWNLOAD AND PRINT THIS ENTIRE AGREEMENT (INCLUDING WITHOUT LIMITATION THESE TERMS AND THE COMPANY’S PRIVACY POLICY, AS DEFINED ABOVE) FOR YOUR RECORDS.

PRIVACY NOTICE

ALL USERS (INCLUDING WITHOUT LIMITATION ALL TRAVELERS OR ATTENDEES AS DEFINED HEREIN) ARE DIRECTED TO SECTIONS 4 OF THIS AGREEMENT FOR A LINK TO THE COMPANY’S PRIVACY POLICY. WITHOUT LIMITING THE PROVISIONS OF SECTIONS 4 and 5.21 HEREIN OR ANY OF THE PROVISIONS OF THE COMPANY’S PRIVACY POLICY, A USER’S USE OF ANY COMPANY PROGRAM, INCLUDING WITHOUT LIMITATION BOOKING ANY TRIP OR EVENT, CONSTITUTES YOUR AGREEMENT TO OUR COLLECTION AND PROCESSING OF YOUR PERSONAL INFORMATION, INCLUDING THE USE OF COOKIES, PURSUANT TO THE COMPANY’S PRIVACY POLICY. PLEASE READ THE COMPANY’S PRIVACY POLICY (SEE SECTIONS 4 and 5.21 HEREIN) CAREFULLY AS IT CONTAINS IMPORTANT INFORMATION ABOUT OUR COLLECTION, USE, STORAGE, DISCLOSURE, AND TRANSFER OF YOUR INFORMATION. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THE COMPANY’S PRIVACY POLICY, THEN YOU MAY NOT USE THE SITE OR ANY OTHER COMPANY PROGRAM.

1. Definitions

For purposes of this Agreement, the following terms shall have the meanings set forth below. This Agreement shall be governed and construed in accordance with the laws of the State of Arizona.

1.1 “Access Right”

Means the limited, revocable, non-exclusive permission granted to users to access and use the Wildish Women website, social media platforms, content, and community features solely in accordance with this Agreement.

1.2 “Platform”

Means all digital and physical properties owned, operated, or controlled by Wildish Women, including but not limited to its website, social media accounts, email communications, community groups, and any related content distribution channels.

1.3 “Content”

Means all materials, information, communications, and media made available through the Platform, including but not limited to text, images, video, graphics, audio, branding, messaging, and user-generated content.

1.4 “Promotional Services”

Means marketing, branding, community-building, informational, and referral-based services provided by Wildish Women, including the promotion or showcasing of third-party Trips, Events, Hosts, or Experiences.

Wildish Women does not provide travel services, transportation, lodging, event execution, or any form of operational fulfillment.

1.5 “Third-Party Services”

Means any services, experiences, travel arrangements, accommodations, transportation, activities, events, workshops, or other offerings provided by independent third-party individuals or entities, including but not limited to Operators, Hosts, vendors, and service providers.

All Third-Party Services are independent from Wildish Women and are not owned, controlled, or operated by Wildish Women.

1.6 “Host”

Means an independent third-party individual or entity (including influencers, creators, brands, or entrepreneurs) who may collaborate with Wildish Women in a promotional or marketing capacity related to Third-Party Services.

Hosts are not employees, agents, partners, or representatives of Wildish Women and have no authority to bind Wildish Women.

1.7 “Operator”

Means any independent third-party entity responsible for the planning, execution, delivery, and fulfillment of any Trip, Event, or Third-Party Service that may be promoted through the Platform.

Operators are solely responsible for all operational, logistical, safety, financial, and performance aspects of their services.

Wildish Women has no control over and assumes no responsibility for Operator services.

1.8 “Traveler” or “Attendee”

Means any individual who interacts with the Platform or engages with promotional content relating to Third-Party Services, including individuals who may independently choose to book or participate in such services through third-party providers.

Wildish Women does not enter into any contractual relationship with Travelers or Attendees for the provision of travel or event services.

1.9 “Event”

Means any in-person or virtual experience, gathering, workshop, meetup, or community activity organized, hosted, or directly operated by Wildish Women, including but not limited to book clubs, local meetups, workshops, and branded community events.

Wildish Women is responsible for the planning, coordination, and execution of Events it directly hosts, subject to applicable limitations and third-party venue or vendor participation.

1.10 “Trip”

Means any travel-based experience, itinerary, retreat, or travel package that is not owned, operated, or controlled by Wildish Women, and is instead provided, managed, and fulfilled exclusively by independent third-party Operators.

Wildish Women may promote, feature, or refer such Trips but does not design, operate, or fulfill them.

1.11 “Operator”

Means an independent third-party entity responsible for the planning, execution, safety, logistics, and fulfillment of Trips.

Operators are solely responsible for all aspects of Trip performance.

1.12 “Third-Party Services”

Means any travel, lodging, transportation, or external experiences provided by independent Operators or vendors, including Trips promoted through Wildish Women.

Wildish Women assumes no responsibility for Third-Party Services.

1.13 “Promotional Services”

Means marketing, branding, community engagement, and informational services provided by Wildish Women, including promotion of third-party Trips and hosting of Wildish Women Events.

1.14 “User”

Means any individual engaging with Wildish Women content, Events, or promotional materials.

2. ACCESS AND CONDITIONS OF USE OF COMPANY WEBSITE AND ANY OTHER COMPANY PROGRAMS

2.1 Access Right

Subject to all terms and conditions of this Agreement, Wildish Women hereby grants users a limited, non-exclusive, revocable, non-transferable right to access and use the Wildish Women website, social media platforms, content, and community features (collectively, the “Platform”) solely for personal, non-commercial use and in strict accordance with this Agreement (“Access Right”).

Wildish Women operates as:

a community and lifestyle brand,

a promotional and marketing platform for third-party travel experiences, and

an independent host of in-person and virtual community events it organizes directly.

Wildish Women is not a travel agency, tour operator, booking agent, or transportation provider.

Wildish Women reserves the right, at its sole discretion and without notice, to suspend, restrict, or terminate the Access Right of any user for any reason, including violation of this Agreement or applicable law.

Wildish Women further reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time, including content, features, or availability, without liability.

2.2 User Responsibility for Access

Users are solely responsible for obtaining and maintaining all equipment, devices, internet access, and services necessary to access the Platform.

2.3 Permitted Use

As a condition of use, users agree that they shall not:

(a) use the Platform for any unlawful purpose or in violation of this Agreement;

(b) use the Platform in any manner that could damage, disable, overburden, or impair its functionality;

(d) attempt to access data, systems, or accounts not authorized to them; or

(e) obtain information through any means not intentionally provided through the Platform.

2.4 Content Responsibility

Users are solely responsible for any content they upload, submit, transmit, or otherwise share through the Platform, including its legality, accuracy, and appropriateness.

Wildish Women assumes no responsibility for user-generated content and has no obligation to monitor such content.

2.5 User Conduct Obligations

Users agree not to:

(a) upload or distribute unlawful, defamatory, harassing, abusive, obscene, or otherwise objectionable content;

(b) upload content that violates any intellectual property, privacy, publicity, or other rights of any third party;

(d) distribute unsolicited advertising, spam, or promotional materials;

(e) use the Platform for fraudulent, deceptive, or illegal purposes; or

(f) violate Wildish Women Community Guidelines, as updated from time to time.

2.6 Content License Grant

By submitting or sharing content through the Platform, users grant Wildish Women a worldwide, non-exclusive, royalty-free license to use, reproduce, display, distribute, and modify such content solely for the purposes of:

(a) operating and improving the Platform and community experience;

(b) promoting Wildish Women Events, content, and brand; and

This license survives termination of user access.

2.7 Security and Prohibited Activity

Users are prohibited from:

(a) attempting to breach Platform security;

(b) accessing unauthorized systems or accounts;

(d) transmitting malware, viruses, or harmful code; or

(e) engaging in any activity that could compromise the integrity or security of the Platform.

Violations may result in termination of access and potential legal action.

Wildish Women may cooperate with law enforcement authorities as required or permitted by law.

2.8 Account Termination

Wildish Women reserves the right to suspend or terminate access to the Platform immediately and without notice if, in its sole discretion, a user violates this Agreement or engages in conduct that may harm the community, Platform, or brand integrity.

2.9 Liability Disclaimer (Critical Structural Correction)

Users expressly acknowledge and agree that:

(a) Wildish Women provides community-based content, promotional services, and independently hosted events only;

(b) Wildish Women does not provide, operate, or control travel services, transportation, lodging, or third-party travel experiences;

(c) all travel-related products, services, bookings, and experiences are provided exclusively by independent third-party operators and are governed solely by their own terms and conditions; and

(d) Wildish Women is not responsible for the accuracy, completeness, availability, pricing, or performance of any third-party travel or event services promoted through the Platform.

For Wildish Women-hosted events, the Company makes reasonable efforts to provide accurate information but does not guarantee availability, scheduling, or third-party venue/vendor performance where applicable.

Wildish Women expressly disclaims liability for errors, omissions, or inaccuracies in content, including but not limited to pricing, descriptions, schedules, images, or third-party representations.

Wildish Women reserves the right to correct errors or inaccuracies at any time, including after publication or user engagement, without liability.

3. COPYRIGHTS, TRADEMARKS, AND OTHER INTELLECTUAL PROPERTY RIGHTS; RESERVATION OF RIGHTS

3.1 Protection of Intellectual Property; Enforcement Rights

Wildish Women respects the intellectual property rights of others and requires users of the Platform to do the same.

Wildish Women reserves the right, in its sole discretion, to:

(i) suspend or terminate Access Rights immediately and without notice for any user who is alleged or determined to have infringed intellectual property rights; and

(ii) remove or disable access to any Content that is alleged or determined to infringe the intellectual property rights of any third party.

Wildish Women’s enforcement of these rights shall not be construed as an admission of any duty to monitor user Content.

3.2 Ownership of Intellectual Property

3.2.1 Trademarks and Branding

All trademarks, service marks, trade names, logos, brand identifiers, and visual branding elements displayed on or through the Platform (“Trademarks”) are owned by Wildish Women or licensed for its use.

Users may not use any Trademarks in any manner that:

creates confusion as to affiliation or endorsement,
suggests Wildish Women operates, sells, or fulfills travel services, or disparages Wildish Women.

All third-party trademarks remain the property of their respective owners.

3.2.2 Content Ownership

All content made available through the Platform, including but not limited to text, graphics, images, video, design elements, branding materials, digital media, and compilations (“Works”), are owned by Wildish Women or its licensors and are protected under U.S. and international copyright law.

This includes content related to:

Wildish Women community events and experiences
Promotional materials for third-party trips or experiences
Educational, branding, and marketing materials

3.2.3 Wildish Women Intellectual Property Rights

Wildish Women owns all rights, title, and interest in and to all intellectual property created, displayed, or distributed through the Platform, including but not limited to:

branding and marketing systems
website and digital platform design
community event concepts and materials
promotional content and messaging
photographs, videos, and media produced by or for Wildish Women
proprietary community frameworks and event formats

Collectively, these are referred to as “Wildish Women IP.”

3.3 Limited Use License

Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and Wildish Women IP solely for personal, non-commercial purposes and in accordance with this Agreement.

Nothing in this Agreement shall be interpreted as granting any ownership rights in Wildish Women IP.

3.4 Restrictions on Use

Users agree that they will not, without prior written consent from Wildish Women:

(i) copy, modify, distribute, sell, or create derivative works from Wildish Women IP;

(ii) reverse engineer, extract, or attempt to replicate any proprietary systems, branding, or content;

(iii) use Wildish Women IP in any manner that suggests endorsement of any third-party travel provider, operator, or service;

(iv) use Wildish Women branding to imply that Wildish Women operates, controls, or fulfills any travel, transportation, lodging, or external event services.

Unauthorized use constitutes infringement of intellectual property rights and may result in legal action.

3.5 Confidential and Proprietary Information

Users agree to maintain the confidentiality of any non-public Wildish Women IP, including internal processes, community structures, event planning frameworks, and business operations not publicly disclosed.

This obligation survives termination of this Agreement.

3.6 No Travel Agency or Operator Relationship

For avoidance of doubt:

Wildish Women is not a travel agency, tour operator, transportation provider, lodging provider, or travel fulfillment company.

With respect to any third-party travel experiences or Trips:

Wildish Women may promote, feature, or market such experiences
All travel services are provided exclusively by independent third-party operators
Wildish Women does not design, control, execute, or manage travel logistics or fulfillment

With respect to Wildish Women Events:

Wildish Women may act as the organizer, host, and operator of its own community events
Any third-party vendors involved in such events are independent contractors and not agents of Wildish Women

4.1 Account Security and User Responsibility

User agrees that:

(i) If the user creates or uses any account, login credentials, or password in connection with the Wildish Women Platform (including website, email communications, community spaces, or any related services), the user is solely responsible for maintaining the confidentiality and security of such credentials;

(ii) The user is solely responsible for all activity conducted under their account, whether or not authorized by the user; and

(iii) The user agrees to immediately notify Wildish Women of any unauthorized access, suspected breach, or misuse of their account credentials.

Wildish Women shall not be liable for any loss, damage, or unauthorized access arising from a user’s failure to maintain account security.

4.2 Privacy Policy and Data Use

Each user’s access to and use of the Wildish Women Platform, including participation in Wildish Women-hosted events, community engagement, and interaction with promotional content related to independent third-party travel experiences, is subject to the Wildish Women Privacy Policy, available at: https://wildishwomen.com/terms-privacy

The Privacy Policy is incorporated into this Agreement by reference and forms part of the legally binding agreement between the user and Wildish Women.

By using the Platform, the user acknowledges and agrees that Wildish Women may collect, use, store, and process personal information for purposes including but not limited to:

Operating and managing Wildish Women-hosted events
Providing community engagement and communication
Marketing and promotional communications
Facilitating introductions to independent third-party service providers (including travel Operators)
Improving Platform functionality and user experience

Wildish Women does not act as a travel agent, travel agency, tour operator, or booking intermediary for any third-party travel services. Any travel bookings, arrangements, payments, or contracts are solely between the user and the independent third-party Operator or service provider.

Wildish Women is not responsible for the privacy practices, data handling, or security of any third-party Operators or external service providers.

Users are encouraged to review the privacy policies of any third-party providers independently before engaging in their services.

5. TRAVELER’S AND ATTENDEE’S TERMS; SCOPE OF SERVICES

5.1 Role of Wildish Women; No Travel Agency Relationship

5.1.1 Wildish Women operates a community, media, and experiential brand that may:

(a) host and organize in-person and virtual events; and

(b) promote, feature, or refer users to independent third-party travel experiences, retreats, and trips (“Third-Party Trips”).

Wildish Women is not a travel agency, tour operator, booking agent, or travel arranger and does not itself provide transportation, lodging, or travel services.

5.1.2 Third-Party Trips (Promotional Role Only)

With respect to any Trip, travel experience, retreat, or itinerary promoted or featured through Wildish Women:

Wildish Women’s role is strictly limited to marketing, promotion, and referral facilitation
Wildish Women does not own, operate, control, manage, or supervise any Trip
Any booking, payment, contract, or service obligation is made directly between the Traveler and the independent third-party operator (“Operator”) or Travel Agency

Wildish Women is not a party to any agreement between a Traveler, Travel Agency, or an Operator.

5.1.3 Events Hosted by Wildish Women

Wildish Women may independently organize, host, and facilitate in-person or virtual events, including but not limited to community gatherings, book clubs, workshops, and branded experiences (“Wildish Women Events”).

For Wildish Women Events:

Wildish Women is responsible for general planning and coordination of the event format
Third-party venues, vendors, and facilitators may be independently contracted
Wildish Women does not guarantee outcomes, subjective experience, or third-party vendor performance
Participation in any Wildish Women Event is voluntary and subject to this Agreement.

5.1.4 No Fiduciary or Agency Relationship

Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, fiduciary, or agency relationship between:

Wildish Women and any Traveler or Attendee
Wildish Women and any Operator or third-party provider
Wildish Women and any Host or vendor
All third parties act as independent contractors at all times.

5.1.5 Operator Responsibility for Trips

All Trips are solely operated and fulfilled by independent third-party Operators or Travel Agencies.

Operators are solely responsible for:

booking fulfillment
safety and risk management
transportation and lodging
itinerary execution
legal compliance
customer service for Trip-related issues

Wildish Women does not control and is not responsible for any Trip-related services.

5.1.6 Payments and Transactions Disclaimer

Wildish Women does not process payments as a travel agent for Trips.

Any payment for a Trip is made directly between the Traveler and the Travel Agency and Operator, or through a third-party payment processor engaged by the Operator or Travel Agency.

Wildish Women is not responsible for:

payment disputes between Travelers and Operators
refunds issued by Operators
chargebacks related to Third-Party Trips

5.1.7 Acceptance of Booking (Events Only)

For Wildish Women Events, a Booking is considered confirmed when payment is received and/or written confirmation is issued by Wildish Women.

For Third-Party Trips, Wildish Women does not confirm, accept, or process bookings.

5.1.8 No Liability for Third-Party Trips

To the fullest extent permitted under Arizona law:

Wildish Women shall not be liable for any:

injury, loss, damage, delay, or inconvenience
act, omission, negligence, or misconduct of any Operator or third party
failure of any Trip or travel experience to meet expectations
cancellation, rescheduling, or modification of any Trip

All such risks are assumed solely by the Traveler.

5.1.9 Relationship Separation Clause (CRITICAL)

User acknowledges and agrees that:

Wildish Women Events and Third-Party Trips are legally distinct categories
participation in one does not create responsibility in the other
Wildish Women’s liability is limited strictly to its own hosted Events and Platform operations

6. DISCLAIMERS; LIMITATION OF LIABILITY

EXCEPT FOR WILDISH WOMEN’S ROLE AS (I) A PROMOTIONAL, MARKETING, AND COMMUNITY PLATFORM FOR THIRD-PARTY TRAVEL EXPERIENCES (“TRIPS”) AND (II) A HOST AND ORGANIZER OF CERTAIN INDEPENDENTLY DESIGNED IN-PERSON OR VIRTUAL EVENTS (“EVENTS”), ALL CONTENT, INFORMATION, AND SERVICES PROVIDED THROUGH THE PLATFORM ARE PROVIDED STRICTLY ON AN “AS IS” AND “AS AVAILABLE” BASIS.

WILDISH WOMEN DOES NOT ACT AS A TRAVEL AGENT, TOUR OPERATOR, OR TRAVEL PROVIDER. WILDISH WOMEN DOES NOT OWN, OPERATE, MANAGE, OR CONTROL ANY THIRD-PARTY TRIPS, TRANSPORTATION, LODGING, OR RELATED SERVICES OFFERED, FEATURED, OR PROMOTED THROUGH THE PLATFORM.

6.1 No Warranties

TO THE FULLEST EXTENT PERMITTED UNDER ARIZONA LAW, WILDISH WOMEN MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
TITLE
NON-INFRINGEMENT
ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT

WILDISH WOMEN DOES NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, OR SUITABILITY OF ANY THIRD-PARTY TRIP, EVENT, HOST, OPERATOR, VENUE, OR SERVICE PROVIDER.

6.2 Third-Party Responsibility

ALL THIRD-PARTY TRIPS, SERVICES, BOOKINGS, AND EXPERIENCES ARE SOLELY THE RESPONSIBILITY OF THE INDEPENDENT THIRD PARTY PROVIDING SUCH SERVICES, INCLUDING BUT NOT LIMITED TO OPERATORS, HOSTS, VENUES, AND VENDORS.

WILDISH WOMEN IS NOT RESPONSIBLE OR LIABLE FOR:

PERFORMANCE OR NON-PERFORMANCE OF ANY THIRD PARTY
CANCELLATIONS, DELAYS, OR MODIFICATIONS OF ANY TRIP OR EVENT
PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE OCCURRING DURING THIRD-PARTY SERVICES
DISPUTES BETWEEN USERS AND THIRD-PARTY PROVIDERS

6.3 Wildish Women Events

WITH RESPECT TO EVENTS THAT ARE DIRECTLY ORGANIZED AND HOSTED BY WILDISH WOMEN, THE COMPANY ACTS SOLELY AS THE EVENT ORGANIZER.

EVEN IN SUCH CASES, TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTICIPANTS ACKNOWLEDGE AND ASSUME ALL RISKS ASSOCIATED WITH ATTENDANCE, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PROPERTY LOSS, AND INCIDENTAL DAMAGES ARISING FROM PARTICIPATION.

6.4 No Agency or Fiduciary Relationship

NOTHING IN THIS AGREEMENT SHALL BE CONSTRUED TO CREATE ANY AGENCY, PARTNERSHIP, JOINT VENTURE, EMPLOYMENT, OR FIDUCIARY RELATIONSHIP BETWEEN WILDISH WOMEN AND ANY USER, HOST, OPERATOR, OR THIRD PARTY.

6.5 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WILDISH WOMEN, ITS OWNERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL
PERSONAL INJURY OR DEATH
PROPERTY DAMAGE
ARISING OUT OF OR RELATED TO:
USE OF THE PLATFORM
PARTICIPATION IN ANY EVENT HOSTED BY WILDISH WOMEN

PARTICIPATION IN ANY THIRD-PARTY TRIP OR SERVICE

RELIANCE ON ANY CONTENT OR INFORMATION PROVIDED

6.6 Aggregate Liability Cap

TO THE FULLEST EXTENT PERMITTED BY ARIZONA LAW, WILDISH WOMEN’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT, IF ANY, ACTUALLY PAID DIRECTLY TO WILDISH WOMEN FOR THE SPECIFIC WILDISH WOMEN-HOSTED EVENT GIVING RISE TO THE CLAIM.

NO LIABILITY SHALL APPLY TO ANY THIRD-PARTY TRIPS OR SERVICES.

6.7 Assumption of Risk

ALL USERS ACKNOWLEDGE THAT PARTICIPATION IN EVENTS OR THIRD-PARTY TRIPS MAY INVOLVE INHERENT RISKS. USERS VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH SUCH PARTICIPATION, INCLUDING THOSE ARISING FROM THIRD-PARTY ACTIONS OR CONDITIONS.

6.8 Emergency Services Disclaimer

WILDISH WOMEN DOES NOT CONTROL OR GUARANTEE THE AVAILABILITY, RESPONSE TIME, OR PERFORMANCE OF LOCAL EMERGENCY SERVICES. USERS ACKNOWLEDGE THAT ANY USE OF EMERGENCY FEATURES OR ASSISTANCE IS AT THEIR OWN RISK.

7. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Wildish Women, an Arizona limited liability company, and its affiliates, officers, directors, employees, contractors, agents, licensors, and successors (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, judgments, awards, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to:

(a) User Conduct and Agreement Violations

Any violation of this Agreement by you, including but not limited to unauthorized use of the Platform, Content, or Company intellectual property, or any misuse of any Wildish Women services, communications, or community spaces.

(b) Wildish Women Hosted Events

Any act, omission, participation, injury, loss, damage, or incident occurring in connection with any event, gathering, workshop, meetup, or experience that is organized, hosted, or directly operated by Wildish Women, including but not limited to community events, book clubs, workshops, and other in-person or virtual experiences.

You acknowledge that participation in such Events is voluntary and may involve inherent risks, and you assume full responsibility for your participation to the fullest extent permitted under Arizona law.

Any participation in, booking of, reliance upon, or interaction with any travel experience, itinerary, retreat, transportation, accommodation, activity, or other service that is:

operated, managed, or fulfilled by an independent third-party provider, including but not limited to travel operators, Hosts, vendors, or service providers; and/or
promoted, featured, or referenced by Wildish Women in a marketing, informational, or community capacity.

You expressly acknowledge and agree that Wildish Women:

does not act as a travel agency, tour operator, or travel service provider;
does not control, manage, or operate any third-party Trips or travel services; and
is not responsible for the actions, omissions, performance, safety, or conduct of any third-party providers.

All such third-party arrangements are solely between you and the applicable provider.

(d) Third-Party Conduct

Any actions, omissions, negligence, misconduct, or breach of contract by any third-party provider, including Hosts, Operators, venues, transportation providers, or any other independent contractors or entities.

(e) Personal Risk and Participation

Any injury, illness, death, loss, or damage to person or property arising out of or relating to your voluntary participation in any Event or Third-Party Service, including risks inherent in travel, group activities, and public gatherings.

ADDITIONAL CLARIFICATION

This indemnification obligation shall apply to the fullest extent permitted under Arizona law and shall survive termination of this Agreement and your use of the Platform.

8. THIRD-PARTY LINKS, SERVICES, AND INDEPENDENT OPERATORS

The Wildish Women website, platforms, communications, and any related content (collectively, the “Platform”) may contain links, references, recommendations, promotional materials, or access points to third-party websites, businesses, services, travel experiences, accommodations, transportation providers, event vendors, or other independent offerings (“Third-Party Services”).

Wildish Women may also promote, feature, or highlight certain third-party travel experiences (“Trips”) or other experiences operated by independent third-party providers (“Operators”) and may host or organize certain in-person or virtual community events (“Events”) that are independently structured and/or supported by third-party venues, vendors, or service providers.

Wildish Women is not a travel agency, tour operator, booking agent, or transportation provider, and does not own, control, manage, or operate any Third-Party Services or Trips offered or fulfilled by independent Operators. All Trips, travel arrangements, accommodations, transportation, and related services are provided exclusively by independent third parties, and any contractual relationship for such services is formed solely between the user and the applicable third-party provider.

Wildish Women does not guarantee, endorse, warrant, or assume responsibility for the accuracy, availability, safety, quality, legality, or performance of any Third-Party Services, Operators, or external websites, even where such services are promoted or featured through the Platform.

If you choose to access, engage with, or enter into any arrangement with a third-party provider through links or referrals on the Platform, you do so voluntarily and at your own risk. Your use of such third-party services is governed exclusively by the terms, conditions, and privacy policies of those third parties, and not by Wildish Women.

Wildish Women shall have no liability arising out of or related to any act, omission, injury, loss, delay, damage, or dispute involving any Third-Party Services, Operators, or external websites.

9. GOVERNING LAW; JURISDICTION; DISPUTES

READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND HOW CLAIMS ARE RESOLVED.

9.1 Governing Law

This Agreement, and any dispute, claim, or controversy arising out of or relating to it, the Wildish Women Platform, Content, Events, or any interactions between users and third-party service providers promoted through the Platform, shall be governed by and construed in accordance with the laws of the State of Arizona, United States of America, without regard to its conflict of law principles.

You acknowledge and agree that:

(a) Wildish Women operates as a community platform and event host for certain in-person and virtual events it directly organizes and conducts;

(b) Wildish Women also serves as a promotional and informational platform that may feature, highlight, or refer users to independent third-party travel, retreat, or experience providers;

(c) Wildish Women is not a travel agency, travel agent, tour operator, or provider of transportation, lodging, or travel fulfillment services; and

(d) any travel, lodging, transportation, or third-party experiences promoted through the Platform are independently operated and controlled by third-party providers, not Wildish Women.

9.2 Jurisdiction

You agree that any claim, dispute, or legal proceeding arising out of or relating to this Agreement, the Platform, Wildish Women Events, or any third-party services referenced or promoted through the Platform shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona (or another Arizona county where Wildish Women maintains its principal business operations, if applicable).

You hereby consent to the personal jurisdiction of such courts and waive any objection to venue or inconvenient forum in such courts.

9.3 Prohibition of Class or Representative Actions

To the fullest extent permitted by law, you and Wildish Women agree that:

(a) any dispute resolution proceedings shall be conducted only on an individual basis;

(b) neither party shall bring or participate in a class action, collective action, or representative proceeding; and

10. CHANGES TO THIS AGREEMENT

BY ACCESSING OR USING THE WILDISH WOMEN WEBSITE, PLATFORM, CONTENT, COMMUNICATION CHANNELS, ANY WILDISH WOMEN EVENTS, OR ANY INFORMATION RELATING TO THIRD-PARTY EXPERIENCES OR SERVICES FEATURED OR PROMOTED BY WILDISH WOMEN, YOU AGREE TO BE BOUND BY THIS AGREEMENT.

YOU ACKNOWLEDGE THAT WILDISH WOMEN OPERATES AS:

(i) AN EVENT HOST AND ORGANIZER OF CERTAIN IN-PERSON AND DIGITAL COMMUNITY EVENTS, AND

(ii) A MARKETING, PROMOTIONAL, AND COMMUNITY PLATFORM THAT MAY FEATURE OR REFER USERS TO INDEPENDENT THIRD-PARTY TRIPS, EXPERIENCES, OR SERVICES.

WILDISH WOMEN IS NOT A TRAVEL AGENT, TOUR OPERATOR, BOOKING AGENT, OR PROVIDER OF TRAVEL SERVICES FOR ANY THIRD-PARTY TRIPS OR EXPERIENCES.

10.1 Right to Modify Agreement

Wildish Women reserves the right, in its sole discretion and at any time, to modify, update, or replace any portion of this Agreement, including but not limited to changes related to:

the use of the Platform
participation in Wildish Women Events
informational or promotional content relating to third-party Trips or Services
the Privacy Policy or related policies

(collectively, “Updates to this Agreement”).

10.2 Notice of Changes

Wildish Women may, but is not obligated to, provide notice of Updates to this Agreement by posting the revised version on its website, updating the effective date, or through any other reasonable communication method.

You are responsible for reviewing this Agreement periodically for changes.

10.3 Acceptance of Updates

Your continued access to or use of the Platform, participation in Wildish Women Events, or engagement with content or materials relating to third-party Trips or Services after any Updates are posted constitutes your acceptance of those Updates.

Such acceptance is effective immediately upon continued use.

10.4 Termination of Use

If you do not agree to any Updates to this Agreement, you must immediately discontinue use of:

the Wildish Women Platform
all Wildish Women Events
any informational, community, or promotional content provided by Wildish Women

11. MISCELLANEOUS PROVISIONS

11.1 Entire Agreement; Waiver; Severability

This Agreement, together with any additional terms expressly incorporated by reference (including any event-specific terms applicable to Wildish Women-hosted events and any third-party terms applicable to Trips or Third-Party Services), constitutes the entire agreement between Wildish Women and each user with respect to use of the Platform, participation in Wildish Women-hosted Events, and engagement with any promotional content related to third-party Trips or Services.

For clarity, this Agreement governs:

(a) Wildish Women’s role as an event host and organizer of its own Events; and

(b) Wildish Women’s role as a promotional and informational platform for independent third-party Trips and services.

This Agreement does not create any contractual relationship between Wildish Women and users for the provision, operation, or fulfillment of any third-party travel services, Trips, transportation, lodging, or related activities.

The failure of Wildish Women to enforce any provision of this Agreement shall not constitute a waiver of such provision or any other provision.

If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction in the State of Arizona, such provision shall be severed or limited only to the extent necessary, and the remaining provisions shall remain in full force and effect.

11.2 Remedies

User acknowledges that unauthorized use of the Platform, Content, intellectual property, or misuse of Wildish Women branding, materials, or Event content may cause irreparable harm for which monetary damages may be insufficient.

Accordingly, Wildish Women shall be entitled to seek injunctive relief, equitable relief, or other appropriate remedies available under Arizona law, without the requirement of posting bond or proving inadequate remedy at law, in addition to any other legal or equitable remedies available.

11.3 Attorney Fees

In any action, dispute, or proceeding arising out of or relating to this Agreement, including the interpretation, enforcement, or breach thereof, the prevailing party shall be entitled to recover its reasonable attorney fees, costs, and expenses incurred in connection with such action, including any appeal, as awarded by a court of competent jurisdiction in the State of Arizona.

11.4 Binding Effect; Assignment

This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors, assigns, heirs, and legal representatives.

Users may not assign or transfer their rights or obligations under this Agreement, whether in whole or in part, without the prior written consent of Wildish Women.

Wildish Women may assign, transfer, delegate, or otherwise dispose of this Agreement, or any of its rights or obligations hereunder, at its sole discretion, without restriction, including in connection with a merger, acquisition, restructuring, or sale of assets.

Any attempted assignment in violation of this Section shall be null and void.
